1. Agreement to Terms

These Terms & Conditions of Sale ("Terms") govern all transactions between FASTICAL LLC ("FASTICAL," "we," "us," or "our"), located in Miami, FL, and any customer ("Buyer," "you," or "your") purchasing products from FASTICAL. By placing an order, you agree to be bound by these Terms. These Terms supersede any conflicting terms in any purchase order, confirmation, or other document issued by the Buyer.

2. Account Requirements

To purchase from FASTICAL, Buyers must:

  • Submit a completed client application through our website or in writing
  • Provide a valid state Resale Certificate (e.g., Florida DR-13 or equivalent)
  • Provide a valid EIN (Federal Tax Identification Number) or equivalent business identification
  • Pass a credit evaluation at FASTICAL's sole discretion

FASTICAL reserves the right to approve, decline, or revoke any account at any time and for any reason. Accounts that fail to maintain valid resale documentation may be suspended until updated documentation is provided.

3. Orders & Acceptance

All orders are subject to acceptance by FASTICAL. We reserve the right to accept or reject any order, in whole or in part, at our sole discretion. An order is not binding until confirmed by FASTICAL in writing or by shipment of the products.

  • Orders may not be cancelled or modified once confirmed by FASTICAL without prior written consent
  • Minimum order quantities and values may apply and will be communicated at the time of account setup
  • Product availability is subject to change without notice
  • FASTICAL may allocate products among Buyers in the event of limited supply

4. Pricing

All prices are quoted in U.S. dollars and are subject to change without notice. Prices in effect at the time of order confirmation will apply to that order. FASTICAL reserves the right to correct pricing errors at any time, even after an order has been placed.

  • Wholesale pricing is available exclusively to approved accounts with valid resale documentation
  • Prices do not include applicable taxes, shipping, handling, or insurance unless otherwise stated
  • Volume-based pricing tiers may apply and are determined at FASTICAL's discretion
  • Promotional pricing is valid only during the specified promotional period and subject to availability

5. Payment Terms

Payment terms are established during account setup and are subject to ongoing credit evaluation.

  • Standard terms are Net 30 from the date of invoice, unless otherwise agreed in writing
  • New accounts may be required to prepay or pay Cash on Delivery (COD) until a credit history is established
  • Late payments are subject to a service charge of 1.5% per month (18% annually) on the outstanding balance
  • FASTICAL reserves the right to require advance payment, modify credit limits, or revoke credit terms at any time
  • In the event of non-payment, FASTICAL may suspend shipments, require prepayment for future orders, accelerate all outstanding balances, and pursue collection including reasonable attorney's fees and court costs

6. Shipping & Delivery

Unless otherwise agreed in writing, all shipments are FOB Origin (Miami, FL). Title and risk of loss pass to the Buyer upon delivery to the carrier.

  • Shipping dates are estimates and are not guaranteed. FASTICAL is not liable for delays caused by carriers, weather, or other circumstances beyond our control
  • Freight charges are the responsibility of the Buyer unless otherwise specified in writing
  • Orders meeting minimum freight thresholds may qualify for prepaid freight at FASTICAL's discretion
  • Buyer is responsible for providing accurate shipping addresses and receiving information. Additional charges may apply for re-delivery, address corrections, or special delivery requirements
  • All products must be shipped to the address on file. FASTICAL must approve any changes to the shipping address prior to shipment
  • Partial shipments may be made at FASTICAL's discretion and will be invoiced separately

7. Inspection & Acceptance

Buyer must inspect all products upon delivery and note any visible damage, shortage, or discrepancy on the carrier's delivery receipt at the time of delivery. Failure to note damage or shortage on the delivery receipt may result in denial of claims. Buyer must report any non-visible damage, defects, or discrepancies to FASTICAL in writing within seven (7) calendar days of delivery. Products not rejected within this period are deemed accepted.

8. Returns & Refund Policy

All returns require prior written authorization from FASTICAL. No products may be returned without a valid Return Merchandise Authorization (RMA) number.

  • Return requests must be submitted within fourteen (14) calendar days of delivery
  • Products must be in original, unopened, and resalable condition with all original packaging and labeling intact
  • A restocking fee of up to 15% may be applied to approved returns
  • Return shipping costs are the responsibility of the Buyer unless the return is due to FASTICAL error
  • Refunds or credits will be issued within thirty (30) days of receipt and inspection of returned products
  • Perishable, temperature-sensitive, or special-order products are non-returnable
  • Products returned without an RMA number or not in compliance with these conditions may be refused and returned to the Buyer at their expense

9. Damaged & Defective Goods

In the event of damaged or defective products:

  • Carrier damage must be noted on the delivery receipt at the time of delivery and reported to FASTICAL within 48 hours
  • Buyer must retain damaged products and all packaging materials for inspection and carrier claims
  • FASTICAL will, at its sole discretion, replace the damaged products, issue a credit, or arrange for a carrier claim
  • Defective products must be reported within seven (7) calendar days of delivery with photos and a description of the defect
  • FASTICAL's liability for damaged or defective goods is limited to the invoice value of the affected products

10. Product Warranty

All products are sold "AS IS" and "AS AVAILABLE." FASTICAL makes no express or implied warranties regarding the products, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. FASTICAL does not manufacture the products it distributes and is not responsible for manufacturer defects, recalls, or product liability claims. Any warranties are limited to those provided by the original manufacturer. Buyer assumes all responsibility for determining the suitability of products for their intended use.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FASTICAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR ANY TRANSACTION HEREUNDER, REGARDLESS OF THE THEORY OF LIABILITY. FASTICAL'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE INVOICE VALUE OF THE SPECIFIC PRODUCTS GIVING RISE TO THE CLAIM.

12. Indemnification

Buyer agrees to indemnify, defend, and hold harmless FASTICAL LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to: (a) Buyer's use, resale, or distribution of products purchased from FASTICAL; (b) Buyer's breach of these Terms; (c) Buyer's violation of any applicable law or regulation; or (d) any claim by a third party related to the Buyer's business operations.

13. Intellectual Property

The content on this website, including text, graphics, logos, and design elements, is the property of FASTICAL LLC and is protected by applicable intellectual property laws. Brand names and trademarks of products listed on this website belong to their respective owners and are used for identification purposes only under nominative fair use principles. FASTICAL is an independent distributor and is not affiliated with, endorsed by, or sponsored by the brands listed.

14. Confidentiality

Both parties agree to maintain the confidentiality of pricing information, account terms, order volumes, and any other proprietary business information exchanged in the course of their business relationship. Neither party shall disclose such information to any third party without the prior written consent of the other party, except as required by law.

15. Force Majeure

FASTICAL shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, earthquake, epidemic, pandemic, public health emergency, war, terrorism, civil unrest, government actions or regulations, labor disputes, carrier delays, supply shortages, power failures, or disruptions to transportation or communication networks. In the event of a force majeure occurrence, FASTICAL's obligations shall be suspended for the duration of the event, and delivery dates shall be extended accordingly.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida. Both parties irrevocably consent to the personal jurisdiction of such courts. THE PARTIES HEREBY WAIVE THEIR RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING UNDER THESE TERMS.

17. No Assignment

Buyer may not assign or transfer any rights or obligations under these Terms without the prior written consent of FASTICAL. Any attempted assignment without such consent shall be void. FASTICAL may assign its rights and obligations under these Terms without restriction.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Entire Agreement & Modifications

These Terms constitute the entire agreement between FASTICAL and the Buyer with respect to the subject matter hereof and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written. FASTICAL reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to this website. It is the Buyer's responsibility to review the current Terms before placing orders. Continued purchases after changes are posted constitutes acceptance of the modified Terms. No waiver of any provision shall be deemed a waiver of any other provision, and no waiver shall constitute a continuing waiver.
